来源 网络 作者 未知 时间 2014-10-08. 合伙企业协议中规定:B公司向合伙企业技资30万元,A负责经营管理,但不投资,B公司每年从合伙企业取得60%的收益,亏损时,责任及其它一切风险均由A负担。 随后,双方共同向登记机关申请合伙登记,登记机关工作人员C在收取了A的贿赂后,作出登记决定,并颁发了合伙企业"营业执照"。 答案与分析]在 中华人民共和国合伙企业法 中规定了:合伙企业是指在中国境内设立的,由合伙人订立合伙协议,共同出资、合伙经营、共享收益、共担风险,并对合伙企业债务承担无限连带责任的营利性组织。 所谓无限责任,是指合伙人应以自己所有的全部财产,而非仅限于其投资的财产,对合伙企业债务承担责任。 尽管这里未具体说明"人",是指法人还是自然人,但从整个条文内容看,应当指的是自然人。 按照合伙企业法的规定,合伙协议为要式合同,需要以书面方式订立,而且还要向企业机关在申请登记时提交。 在其存续期间,合伙企业只有有自己的名称,才能以自己的名义参与民事法律关系,事有民事权利,承担民事义务,并参与诉讼,成为诉讼当事人。 根据 合伙企业法 第8条的规定,该合伙企业不具备设立条件,应予以撤销。

来源 网络 作者 未知 时间 2015-06-18. 持第二、第三种意见者认为，根据 最高人民法院关于适用 中华人民共和国民事诉讼法 若干问题的意见 第102条之规定，人民法院对抵押物、留置物可以采取财产保全措施，但抵押权人、留置权人有优先受偿权。 最高人民法院关于人民法院民事执行中查封、扣押、冻结财产的规定 第13条也规定了“查封、扣押、冻结担保物权人占有的担保财产，一般应当指定该担保物权人作为保管人;该财产由人民法院保管的，质权、留置权不因转移占有而消灭。 Rdquo;这就是说，目前我国担保法采取的是所谓的法定留置原则，一方面，留置权须为依约占有，只能适用于“债权人按照合同约定占有债务人的动产”的情形;另一方面，合同债权人可以留置债务人的动产只有该法规定的上述三大类合同。
